Terms of Trade

1. (a) All machine accounts to be paid within seven days of dispatch
(b) All parts and miscellaneous smaller item accounts to be paid by 20th month following transaction.
2. Buyer accepts responsibility of goods upon dispatch from DYNO NZ store. Insurance of goods dispatched responsibility of Purchaser.
3. (a) No goods will be accepted for return without the prior consent of DYNO NZ. Goods not returnable after 14 days from date of invoice.
Invoice/Packing Slip must be quoted with goods returned for credit. DYNO NZ reserves the right to apply a rehandling fee on goods
returned for Credit.
(b) All the goods provided by us shall remain our property and we shall retain full legal and equitable ownership of such goods until you
have paid for them in full. Until such payment you shall have no rights of property in, or ownership of, the goods and shall hold them as
bailee on behalf of and in a fudiciary capacity for us. We reserve the right to call on the premises where the goods are located, to take
possession of them and resell the goods and apply the proceeds of sale towards payment if the outstanding amount due to ourselves
under this of any other invoice unpaid.
(c) The unpaid seller, DYNO NZ protects their position with respect to:
1. The actual items supplied.
2. The proceeds in the event that such items are sold.
(d) Ownership extends also to items that are subsequently manufactured using sellers goods. The Purchaser can sell articles made with the
goods in the ordinary course of business but the Supplier should claim any rights held by the Purchaser over any third party who had in
turn acquired the manufactured articles. Proceeds of resale “shall be the property of DYNO NZ”.
(e) Automatic curtailment of any credit period if the Purchaser supplied goods, parts with possession of same.
(f) Any liability on our part is subject to you observing the terms of payments and all other obligations under the invoice. If delivery cannot
be effected for lack of instructions from you, then delivery shall be deemed to have been made within fourteen (14) days of our giving
notice that the goods are ready and your payment shall be due accordingly.
(g) Our invoice is a contract between you and us. Ay service carried out which may be the subject of an insurance claim between you and
your insurers shall have no bearing on the terms of payment and as such any amount payable under these terms must be paid direct to
us by yourselves regardless of the existence of an insurance claim or otherwise.
(h) Interest at the rate of 2% per month will be charged on any amount outstanding
4. Prices are based on the rates of exchange and the cost of materials, labour, transport, insurance and other items as at the date of
order. If between that date and the completion of the service undertaken, variations occur in such items of there are increases in costs
attributable to our suppliers or to changed orders or variations made by you, or taxation or legislation, then we reserve the right to
amend our price accordingly without prior notice to you.
5. Choice of Law – this contract is to be subject to and governed by the laws of New Zealand. Language to be English.
6. Warranty – all items are purchased on an “as is – where is” basis unless a written warranty is issued for goods for a stated period. This
warrants that components deemed in DYNO NZs opinion to be defective due to faulty materials or workmanship, will be repaired, or a
replacement supplied at no charge to the purchaser, or money refunded, such action entirely at the discretion of DYNO NZ or its
authorized representative. Any part claimed defective must be returned to DYNO NZ for inspection before decision or action, if any,
will be undertaken.
In any case where DYNO NZ or its dealer may agree that it is impractical to return any defective component, to ensure correct action,
detailed instructions and approval to carry them out must first be obtained from an authorized representative of DYNO NZ before any
repair or replacement is effected if there is any claim for warranty cover to be considered by DYNO NZ. This warranty does not extend
to cover normal maintenance faults due to misuse, neglect, accident or unauthorized modification or repair.
The Purchaser accepts full responsibility to supply or pay for labour to remove or reassemble components, mileage, transport and any
other consequential costs damages or losses incurred.
7. Warranty applies for six months from date of dispatch on all goods marked DYNO or TRANZBAND.
8. The Purchaser is purchasing goods from DYNO NZ for business purposes only. Therefore the statutory guarantees or the Consumer
Guarantees Act 1993 shall not apply.
